Utah Registered Agent for Out-of-State Businesses

If your business is formed in another state but does business in Utah, you're considered a "foreign" entity in Utah — and you'll need to register here through a process called foreign qualification. A required step in that process is naming a Utah registered agent.

What "Foreign" Actually Means

In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in Utah is a "foreign LLC" from Utah's perspective. The same applies to corporations and other entity types.

Utah rewrote its business entity laws effective October 1, 2026. The new Title 16, Chapter 1a keeps an out-of-state entity from operating in Utah before it's registered with Utah's corporations division. Section 16-1a-506 sets aside fourteen activities as not doing business, among them interstate commerce, owning real property, a deal outside your ordinary course, orders that only become contracts elsewhere, contractors who sell for you, your own meetings, and keeping money in a Utah bank.

What a Utah Registered Agent Does for a Foreign Entity

Your Utah registered agent is the legal point of contact for your foreign entity in Utah. The agent:

• Receives service of process if your business is sued in Utah
• Has a Utah street address, and gets all of the Division's correspondence for your LLC
• Can be a commercial registered agent on the Division's list, an individual, or a company the Division shows as active
• Isn't your own company, according to the Division's instructions

Utah has no late-registration fee. Even so, Utah courts won't entertain a suit from an unregistered LLC, and if the Division issues a cease and desist order that gets ignored, a penalty of up to $100 per day can follow. Agreements made in the meantime still count, and the company keeps its right to defend.

How to Foreign-Qualify in Utah

The general process for registering an out-of-state entity in Utah:

1. Order proof that your LLC exists. Since October 1, 2026, Utah wants a certificate of existence from your home state's filing office, dated 90 days or less before you file.

2. Designate a Utah registered agent. You can use a commercial registered agent service or appoint an individual who lives in Utah.

3. File the foreign registration statement ($59). Utah dropped the paper version; the filing happens in the Division's online system after a UtahID login, under Formations. Expedited processing is $75 more. When your name is taken, the same filing lets you pick an alternate name for Utah.

4. Renew every year for $18. Your renewal is due before your anniversary month ends, and the system opens it 60 days ahead. Late renewals cost $10 more, and a foreign LLC that expires can't be revived; you would need to register again under a new filing.
